Summary Project Description: USA BASED ONLY!! I am the buyer in an asset purchase of a combined used-car sales and auto repair business located in Wilmington, North Carolina. Due diligence is complete and we are moving into the closing phase. Transaction details: Asset purchase of operating auto dealership / repair business Financed with an SBA 7(a) loan (Pathforward Bank) Includes assignment of existing commercial lease Buyer entity will be a newly formed South Carolina LLC (operations remain in NC) I need a North Carolina-licensed attorney experienced in: Small-to-midsize business asset purchases SBA 7(a) loan closings and coordination with lender counsel Commercial lease assignments / landlord consents Closing logistics in New Hanover County / Wilmington area Scope of work (flexible based on proposals): Coordination with SBA lender’s counsel Assistance with lease assignment and any required landlord documents Guidance through closing process and document execution Looking for practical, efficient counsel who has closed similar transactions.
