Need a standard company agreement. Company name is Auto Escape Pty Ltd. The company was formed in January, 2026 by two directors -- Ankur Bhaskar and Anup Grover. The main business of company is Rent to own cars. We buy cars from dealers on loans and further rent them out to our clients at bit higher interest rate or fee. Ankur Bhaskar does mostly admin work and Anup Grover is involved with dealing with clients and arranging loans to buy cars under company name. Both directors took personal loans for the first two cars each as part of the company's initial setup. We need a standard company agreement explaining duties and obligations and profit sharing percentages for each director. Also add a special clause that if one director does any fraudulent activity while dealing with clients or withdraws all the money from the company account without authorization, the other director will not be responsible for any kind of liability, debt, or loans arising as a result of that activity. This clause applies vice versa for both directors.
