I’m putting together an early-stage funding package for a boutique resort that will be raised entirely in a friends-and-family round. I already have the concept, preliminary numbers, and a rough outline of how the capital could flow, but I need a seasoned CA or business consultant to sanity-check and refine the structure before it goes in front of potential investors. The brief • Purpose: create a hybrid structure that blends debt financing with convertible notes, keeping the initial risk to investors as low as possible. • Scope: fine-tune the capital stack, draft or polish term-sheet language, flag any tax or regulatory traps, and confirm that my waterfall and repayment triggers achieve the risk-minimisation goal. • Deliverable: a concise, investor-ready memo (or slide deck if you prefer) that explains the mechanics, showcases sample returns under best- and worst-case scenarios, and highlights compliance checkpoints specific to India-based resort assets. Also in have most the things and documents are ready to share with and to just refine it I’ll supply my current financial worksheets, cap-table draft, and market assumptions on acceptance. What I need from you is clear, actionable advice backed by solid numbers so we can finalise a structure that protects early investors while giving the project room to scale.
